2. Eligibility

3. Marketplace Nature

1by0 operates solely as an online marketplace and technology platform.

1by0:

Does not create products listed by Sellers.
Does not own Seller content.
Does not guarantee originality, legality, quality, functionality, or accuracy of products.
Does not act as an employer, agent, reseller, publisher, distributor, or partner of Sellers.

Transactions occur directly between Buyers and Sellers.

1by0's role is limited to providing marketplace infrastructure.

4. User Accounts

Users are responsible for:

Maintaining account confidentiality.
Securing login credentials.
All activities occurring under their accounts.

Users shall immediately notify 1by0 of unauthorized account access.

1by0 shall not be liable for losses arising from unauthorized use of accounts.

5. Seller Agreement

Any User acting as a Seller must comply with the separate Seller Agreement.

The Seller Agreement is incorporated into these Terms by reference.

In the event of conflict between these Terms and the Seller Agreement regarding seller activities, the Seller Agreement shall prevail.

6. User Content

Users retain ownership of their uploaded content.

By uploading content, Users grant 1by0 a worldwide, non-exclusive, royalty-free license to:

Host content.
Display content.
Promote content.
Generate previews.
Market products and listings.

Users warrant that they possess all necessary rights and permissions.

Users remain solely responsible for uploaded content.

7. Intellectual Property

Users shall not upload, distribute, or sell:

Copyright-infringing materials.
Trademark-infringing materials.
Pirated software.
Unauthorized third-party assets.
Stolen or copied works.

1by0 reserves the right to remove suspected infringing materials without notice.

8. Prohibited Activities

Users shall not:

Buyers purchase products at their own discretion and risk.

12. Third-Party Services

The Platform may integrate or link to third-party services.

1by0 neither controls nor endorses such services.

Users access third-party services entirely at their own risk.

1by0 disclaims all responsibility arising from third-party services.

13. Taxes

Users are solely responsible for determining and fulfilling their tax obligations.

1by0 does not provide tax advice.

Sellers remain solely responsible for:

Income taxes.
VAT.
GST.
Sales taxes.
Other applicable taxes.

14. Account Suspension and Termination

1by0 may suspend, restrict, or terminate accounts at any time, with or without notice, for any reason including:

Fraud.
Intellectual property disputes.
Security concerns.

Reputational risks.

1by0 shall not be liable for losses resulting from suspension or termination.

15. Monitoring and Enforcement

16. Disclaimer of Warranties

THE PLATFORM WILL OPERATE UNINTERRUPTED.
PRODUCTS WILL BE ERROR-FREE.
DEFECTS WILL BE CORRECTED.
THE PLATFORM WILL ALWAYS BE SECURE.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 1BY0, ITS OWNERS, EMPLOYEES, AFFILIATES, CONTRACTORS, AGENTS, AND PARTNERS SHALL NOT BE LIABLE FOR:

INDIRECT DAMAGES.
INCIDENTAL DAMAGES.
SPECIAL DAMAGES.
CONSEQUENTIAL DAMAGES.
LOSS OF PROFITS.
LOSS OF REVENUE.
LOSS OF DATA.
BUSINESS INTERRUPTION.

IN NO EVENT SHALL 1BY0'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY THE USER TO 1BY0 DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

18. User Indemnification

Users agree to defend, indemnify, and hold harmless 1by0 and its owners, officers, employees, affiliates, contractors, and agents against all claims, liabilities, losses, damages, costs, fines, penalties, and legal expenses arising from:

User content.
Marketplace activities.
Intellectual property disputes.
Violation of laws.
Breach of these Terms.
User misconduct.

This obligation survives termination.

19. Privacy

Use of the Platform is governed by the Privacy Policy.

By using the Platform, you consent to the collection and use of information as described therein.

20. Force Majeure

1by0 shall not be liable for delays or failures caused by events beyond reasonable control, including:

Natural disasters.
Internet failures.
Cyberattacks.
Government actions.
Power outages.
War.
Labor disputes.

21. Governing Law and Jurisdiction

24. Changes to Terms

1by0 may modify these Terms at any time.
