1by0 Seller Agreement

Effective Date: 01 May 2026

This Seller Agreement ("Agreement") governs participation as a seller on the 1by0 marketplace ("Platform", "1by0", "we", "us", or "our").

By registering as a seller, uploading products, or using seller services on 1by0, you agree to be legally bound by this Agreement.

1. Seller Eligibility

To become a seller on 1by0, you must:

Be at least 18 years of age or the legal age of majority in your jurisdiction.
Have the legal authority to enter into binding agreements.
Provide accurate and complete registration information.
Maintain updated contact and payment information.

1by0 reserves the right to reject or terminate seller accounts at its sole discretion.

2. Seller Responsibilities

The seller is solely responsible for:

Products uploaded to the Platform.
Product quality and accuracy.
Product descriptions and representations.
Product licensing terms.
Customer support related to products.
Compliance with applicable laws and regulations.

The seller acknowledges that 1by0 acts solely as an intermediary platform.

3. Ownership and Intellectual Property

The seller represents and warrants that:

They own all intellectual property rights relating to uploaded products; or
They possess all necessary licenses, permissions, and rights required to distribute the products.

The seller shall not upload products containing:

Copyrighted content without authorization.
Pirated materials.
Trademark-infringing materials.
Confidential information.
Stolen, copied, or scraped content.
Content violating any third-party rights.

The seller remains solely liable for any intellectual property disputes arising from uploaded products.

4. License Granted to 1by0

The seller grants 1by0 a worldwide, non-exclusive, royalty-free license to:

Host products.
Display product information.
Promote listings.
Generate previews and thumbnails.
Market products across platform channels.

This license remains active while the product is listed on the Platform.

5. Product Review and Approval

1by0 reserves the right to:

Review products before publication.
Reject products.
Suspend listings.
Request modifications.
Remove products at any time.

Approval does not constitute verification of ownership or legality.

The seller remains fully responsible for uploaded content.

6. Prohibited Products

The following are prohibited:

Pirated software.
Cracked applications.
Malware or malicious code.
Counterfeit content.
Unauthorized reselling of third-party products.
Adult content.
Hate speech.
Illegal products.
Fraudulent materials.
Content violating sanctions or export controls.
Products encouraging unlawful activities.

Violation may result in immediate account termination.

7. Seller Warranties

The seller warrants that:

Products are accurate and functional.
Products match descriptions.
Products do not infringe third-party rights.
Products are free from malicious code.
Products comply with applicable laws.

These warranties survive account termination.

8. Product Pricing

Sellers may determine product pricing unless otherwise specified by platform promotions.

1by0 reserves the right to:

Refuse misleading pricing.
Remove deceptive listings.
Restrict abusive pricing practices.

9. Fees and Commissions

1by0 may charge:

Listing fees.
Transaction fees.
Commission fees.
Payment processing fees.

Applicable fees will be published on the Platform and may be updated periodically.

Continued use of the Platform constitutes acceptance of updated fee schedules.

10. Payment Processing

Payments to sellers are subject to:

Verification procedures.
Fraud screening.
Chargeback review.
Tax compliance requirements.

1by0 may withhold payments where:

Fraud is suspected.
Ownership disputes exist.
Legal investigations are pending.
Chargeback risks are identified.

11. Taxes

The seller is solely responsible for:

Income tax.
Sales tax.
VAT.
GST.
Withholding tax obligations.
Any other taxes arising from product sales.

1by0 does not provide tax advice.

12. Refunds and Disputes

1by0 may issue refunds where:

Products are defective.
Products are materially misrepresented.
Downloads are inaccessible.
Fraudulent activity is identified.

Refund decisions made by 1by0 are final.

Refund amounts may be deducted from future seller payouts.

13. Chargebacks

If a customer initiates a chargeback:

1by0 may investigate the transaction.
Seller funds may be temporarily withheld.
Chargeback amounts may be recovered from seller balances.

Repeated chargebacks may result in account suspension.

14. Intellectual Property Claims

Upon receipt of a valid copyright, trademark, or intellectual property complaint, 1by0 may:

Remove the content.
Suspend sales.
Request supporting documentation.
Suspend the seller account.

The seller agrees to cooperate fully during investigations.

15. Seller Indemnification

The seller agrees to defend, indemnify, and hold harmless:

Its owners
Directors
Employees
Affiliates
Contractors

from and against any claims, losses, damages, liabilities, legal fees, penalties, and expenses arising from:

Uploaded products.
Intellectual property disputes.
Licensing disputes.
Product defects.
Regulatory violations.
Misrepresentation.
Seller conduct.

This indemnification obligation survives termination.

16. Limitation of Liability

To the fullest extent permitted by law:

1by0 shall not be liable for:

Lost profits.
Loss of business.
Loss of data.
Indirect damages.
Consequential damages.
Third-party claims.

The seller acknowledges that use of the Platform is at their own risk.

17. Suspension and Termination

1by0 may suspend or terminate seller accounts for:

Policy violations.
Fraud.
Repeated customer complaints.
Intellectual property violations.
Misuse of the Platform.
Illegal conduct.

Termination may occur without prior notice.

18. Audit Rights

1by0 reserves the right to request proof of ownership, licensing documentation, or other evidence relating to uploaded products.

Failure to provide requested documentation may result in product removal or account suspension.

19. Confidentiality

Sellers shall not disclose:

Platform operational information.
Internal pricing models.
Security information.
Non-public business information.

without prior written authorization.

20. Governing Law

This Agreement shall be governed by the laws of the jurisdiction in which 1by0 is registered and operated.

Any disputes shall be resolved through the competent courts of that jurisdiction unless otherwise agreed.

21. Amendments

1by0 may update this Agreement at any time.

Continued use of the Platform following updates constitutes acceptance of revised terms.

22. Acceptance

By registering as a seller or uploading products, you acknowledge that you have read, understood, and agree to be bound by this Seller Agreement.
